Effective Date: March 1, 2024
These Subscription Terms and Conditions ("Terms") govern the use of subscription-based consulting services provided by Tegnix LLC ("Tegnix," "we," "us," or "our"). By subscribing to our services, you agree to these Terms.
1. Services
Tegnix provides IT consulting, automation development, and tech enablement services based on the selected subscription tier (Essentials, Growth, Accelerate). Services are delivered remotely unless otherwise agreed.
2. Subscription Packages
Your subscription includes a fixed number of consulting hours per month:
- Essentials: 5 hours
- Growth: 10 hours
- Accelerate: 20 hours
Unused hours do not roll over. Additional hours may be available upon request and billed separately.
3. Onboarding Fee
A one-time onboarding fee of $249 is charged upon subscribing. This covers initial technical discovery, planning, and setup.
4. Billing & Payment
Subscriptions are billed monthly in advance via Stripe. Payment is due on the billing date. Failure to pay may result in suspension or termination of services.
5. Cancellation
You may cancel your subscription at any time. However, no refunds are provided for partial months or unused hours. Cancellation will be effective at the end of the current billing cycle.
6. Intellectual Property
All deliverables and materials created for your business are your property once payment is received in full. Tegnix retains the right to use anonymized versions for portfolio or marketing purposes.
7. Confidentiality
We treat your business information as confidential and will not share it without your written consent, except as required by law.
8. Limitation of Liability
Tegnix is not liable for any indirect, incidental, or consequential damages. Total liability under this agreement is limited to the amount paid for services in the past 3 months.
9. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles.
